Edoo Mate – Terms & Conditions

These Terms and Conditions ("Terms") govern access to and use of the Edoo Mate platform and related services.


1. Introduction

Welcome to Edoo Mate ("we", "us", "our"). These Terms apply to all schools, educational institutions, teachers, pupils, and authorised users (collectively, the "School" or "Users") who access or use the Edoo Mate platform.

By registering for, accessing, or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms.


2. Definitions

  • Platform – The Edoo Mate software, website, applications, AI tutor, educational content, analytics tools, and related services.

  • User – Any individual authorised by a School to access the Platform, including staff and pupils.

  • Licence – The limited right granted by Edoo Mate to the School to use the Platform in accordance with these Terms.

  • Subscription Period – The duration for which the School has purchased access to the Platform.


3. Licence to Use the Platform

3.1 Edoo Mate grants the School a limited, non-exclusive, non-transferable, and revocable licence to use the Platform strictly for educational purposes during the Subscription Period.

3.2 The licence applies only to teachers, pupils, and staff affiliated with the purchasing School.

3.3 The Platform and its AI tools are designed to support and enhance learning. They do not replace professional teaching, supervision, or educational judgment.

3.4 The School shall not sub-licence, resell, rent, lease, distribute, or otherwise make the Platform available to any third party without prior written consent from Edoo Mate.


4. User Responsibilities

4.1 The School is responsible for all activity conducted through its accounts.

4.2 Teachers and staff must ensure appropriate supervision of pupils while using the Platform.

4.3 Users must:

  • Keep login credentials secure and confidential;

  • Not share accounts or access details with unauthorised persons;

  • Use the Platform in a lawful, ethical, and responsible manner.

4.4 The School agrees to comply with all applicable safeguarding, child protection, and education regulations and policies in its jurisdiction.


5. Intellectual Property

5.1 All intellectual property rights in the Platform, including software, AI models, content, design, documentation, and generated outputs, remain the exclusive property of Edoo Mate or its licensors.

5.2 Schools may use AI-generated outputs solely for internal educational purposes.

5.3 Schools and Users may not:

  • Copy, modify, distribute, or reproduce any part of the Platform;

  • Use the Platform or its outputs for commercial purposes;

  • Reverse engineer or attempt to extract source code or proprietary technology,

without prior written permission from Edoo Mate.


6. Data Protection and Privacy

6.1 Use of the Platform is subject to our Privacy Policy and Data Processing Agreement (DPA), which form part of these Terms.

6.2 The School is the data controller for pupil data and is responsible for ensuring that all necessary consents and legal bases for processing personal data are obtained.

6.3 Edoo Mate will process personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.


7. Limitation of Liability

7.1 The Platform is provided on an "as is" and "as available" basis.

7.2 While we aim to provide reliable and accurate tools, Edoo Mate does not guarantee specific learning outcomes, academic performance, or results.

7.3 To the maximum extent permitted by law:

  • Edoo Mate shall not be liable for any indirect, incidental, consequential, or special damages;

  • Our total liability arising from or in connection with these Terms or the use of the Platform shall be limited to the fees paid by the School for the relevant annual subscription period.

7.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.


8. Termination

8.1 Either party may terminate the licence by providing written notice in accordance with the subscription agreement.

8.2 Edoo Mate may suspend or terminate access immediately if the School or Users materially breach these Terms.

8.3 Upon termination:

  • All rights to use the Platform will cease;

  • Access to accounts will be disabled;

  • School data will be returned or securely deleted in accordance with the DPA and applicable law.


9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
